The present General Terms and Conditions (the “Agreement”) is made and entered into by and between HORIZONS., a Singapore company d.b.a. Horizons, parent company of Shanghai New Horizons Digital Technology Co., Ltd. (上海新视野数字科技有限公司) (the “Provider”), and the company that is executing this Agreement (the “Client”) with the Provider; each referred to as a “Party” and together as the “Parties”.

In consideration of the mutual covenants contained below, the Parties agree to be bound by the terms and conditions as follows:

当前的一般条款与条件(下文称为“本协议”)由HORIZONS【一家新加坡的公司,为上海新视野数字科技有限公司的母公司】(下文称为“提供商”)和执行与提供商之间的本协议的公司(下文称为“客户”)签署;双方单独称为“一方”,合称为“双方”。

鉴于双方在此的相互约定,双方同意遵守以下条款与条件:

01. Services

Services. The Client desires to retain the Provider’s consulting services (the “Services”) to support the Client’s specific projects as further detailed in relevant duly executed proposal(s) (the”Proposal(s)).

Assignment. The Provider will assign specific professional(s), selected or approved by the Client, to the Client’s project (the “Professional(s)”). The Client understands that depending on the applicable situation, such Professional(s) may be an independent contractor or regular employee. Therefore, depending on the availability and presence of relevant Professional(s), the Services may include, but are not limited to, the onboarding and regular signing or employment of such Professional(s) with a local in-country affiliated entity, along with the supervision of all other administrative, legal and HR aspects arising from the signing or employment of such Professional(s), and their deployment to the Client’s projects.

Provider’s Obligations. The Provider shall perform the specific Services set forth in any Proposal, with all due skill, care and diligence, in a good and workmanlike manner, and in conformity with generally recognized industry standards for similar services and all applicable legislation.

Client’s Obligations. To help the Provider provide the Services, the Client undertakes to (i) make available, provide, and/or deliver, on the request of the Provider, all necessary information, materials, context, and instructions and cooperate with all other reasonable requests from the Provider; (ii) ensure that such information, materials and context are provided in full compliance with any applicable laws and regulations; (iii) monitor and supervise the ongoing performance or delivery quality of the Services delivered by the relevant Professional(s), and inform the Provider of any unsatisfying points; (iv) assume responsibility for the day-to-day management of the Professional, including disciplinary matters, and understands that it may draft and issue warning letters, and agrees to duly inform the Provider of any such actions; (v) notify the Provider immediately if any event or circumstance arises that may impact the performance of the Services by the Provider; and, (vi) bear all undisputed costs related to the Services according to each applicable Proposal.

01. 服务

服务。客户希望保留提供商的咨询服务(“服务”),以支持客户的具体项目,详见本协议项下正式签署的相关定价表(“方案”)。

指派。提供商将派遣由客户选择或批准的特定专业人员(“专业人员”)负责客户的项目。客户理解根据适用情况,这些专业人员可能是独立承包商或常规雇员。因此,服务可包括但不限于与提供方当地或国内关联实体签订专业人员的雇佣协议或定期续签;监督雇佣此类专业人员而产生的行政、法律和人力方面的事宜;以及将他们派遣到客户的项目。

提供方的义务。提供商应运用其恰当的技能、谨慎和勤奋以良好和熟练的方式提供任何方案中规定的特定服务,并遵守适用于类似服务的普遍认可的行业标准以及所有适用法律。

客户的义务。为了便于提供商提供服务,客户承诺将(i)在恰当时准备、提供和/或提交所有必要信息、材料、文本和说明,并配合满足提供商的所有合理要求;(ii)确保此类信息、材料和文本均符合任何适用法律和法规;(iii)监控和监督相关专业人员提供服务的情况并将任何不符合要求之处告知专业人员;(iii) 监测和监督相关专业人员提供的服务的持续表现或交付质量,并将任何不满意之处通知提供者;(iv) 承担专业人员的日常管理责任,包括纪律问题,并理解客户可以起草并向员工发出警告信,同时同意将此类行动及时告知提供商;(v)在出现任何可能完全或部分影响服务的事件或情况时,立即将此类事件或情况告知提供商;以及(vi)根据适用的方案承担服务所产生的所有无争议的成本。

02. Professional

Dedicated Professional. The Professional may be a local national or foreign individual, assigned to render consulting services to the Client’s project, and who is, depending on the case, either (i) selected by the Provider and approved by the Client; or (ii) selected by the Client and approved by the Provider.

Professional Onboarding. Due to the nature of the Services and the globally distributed team of the Provider, the latter may either use a local in-country affiliated entity, or a local in-country affiliated entity and other third parties to engage a Professional and to handle their payment and other HR and administrative matters; and the Client further authorizes the Provider to use such local entities. The engagement of a Professional will hence be governed by the laws and regulations of the location (country, region, province, state, etc.) where they have been deployed to the Client’s project; and the Client agrees to abide by such laws and regulations.

Project Termination – Professional Offboarding. In case a specific project for which a Professional has been dedicated is to be terminated, and notwithstanding the case of the Professional’s resignation, the Client shall provide the Provider with a minimum of 5 days’ notice, prior to the expected project termination date. Upon receipt of such notice, the Provider shall terminate the relevant Professional(s)’ assignment in compliance with local laws and regulations. Prior to notifying the Provider of the project termination, the Client will benefit from a free-of-charge pre-termination consultation with the Provider. The Client understands that the timeframe necessary to effectively terminate the Professional varies depending on the applicable case, including but not limited to the reason for the termination and the country of hire. Any non-compliance with this obligation shall be deemed as a material breach of this Agreement by the Client. Furthermore, the Client understands and agrees that (i) the termination decided by the Client shall be justified in accordance with local laws and regulations, (ii) the Client shall respect and follow the procedural recommendations the Provider has given regarding such termination, and (iii) all termination costs shall be borne by the Client, including, but not limited to, outsourcing specific offboarding procedures to external partners or consultants, when applicable.  Provided the Professional(s) has decided to contest such termination, all litigation costs shall be borne by the Client, and a services fee will apply. All termination costs and litigation costs can be claimed by the Provider, in case it has to pay such costs upfront. Furthermore, in the event the Professional(s) needs to receive a last payment after the project termination (usually relating to expenses reimbursement), the Provider will invoice the Client with the relevant amount, and a services fee will apply.

Economic Compensation. A severance bonus or a project termination compensation is a pay-out that may be required when terminating a Professional to ensure compliance with local labor laws and regulations. The Client understands and agrees that, immediately upon a Professional’s termination, all termination costs that may arise, which may include, without being limited to, severance compensation, payment in lieu of notice and accrued leave days, shall be borne by the Client.

Notice of Professional(s)’ Termination. In the event a Professional is to be terminated, depending on the location where they have been assigned to the Client’s project, a notice of termination may be required. The Client understands that such notice shall be exclusively delivered by and through the Provider, and the Client shall not, under any circumstances, notify the Professional of their termination. Upon request of the Client, the notice period, if applicable, can be omitted by issuing a specific payment to the concerned Professional: such payment in-lieu of notice shall be exclusively issued by and through the Provider.

02. 专业人员

专职的专业人员。该专业人员可以是本地人,也可以是外籍人士,被派遣为客户的项目提供咨询服务,根据具体情况,该专业人员(i)由提供商选择并经客户批准;或(ii)由客户选择经提供商批准。

专业人员的入职。由于服务的性质以及服务提供商的全球分布团队,提供商可以选择从与当地有关联的实体中录用专业人员,或者使用与当地有关联的实体和其他第三方来启动专业人员的入职,并处理其付款以及其他人力资源和行政事务;客户进一步授权服务提供商使用这样的本地实体。专业人员的参与将因此受限于他们被派驻到客户项目的地点(国家、地区、省、州等)的法律法规;客户同意遵守这些法律法规。

项目终止 – 专业人员的终止。如果专业人员被指定用于特定项目,并且该项目即将终止,在不考虑专业人员辞职的情况下,客户应在预期项目终止日期前至少提前5天向服务提供商提供通知。在收到通知后,服务提供商将根据当地法律法规终止相关专业人员的任务。在通知提供商项目终止之前,客户可享受提供商提供的免费终止前咨询得服务。 客户理解,有效终止专业人员所需的时间取决于适用情况,包括但不限于终止原因和雇佣国家。任何未履行此义务的情况将被视为客户对本协议的重大违约。此外,客户理解并同意:(i)由客户决定的终止应符合当地法律法规,(ii)客户应尊重并遵循服务提供商就此类终止提出的建议,以及(iii)所有终止费用应由客户承担。如果专业人员决定对此类终止提出异议,则所有诉讼费用应由客户承担,包括但不限于在适用情况下将特定的终止程序外包给外部合作伙伴或顾问。服务提供商将有权提出索赔,以收回此类费用,并收取服务费。此外,在项目终止后,如果专业人员需要在项目终止后收到最后一笔支付(通常涉及费用报销),服务提供商将向客户开具相应金额的发票,并收取服务费

经济赔偿。以确保符合当地的劳动法律和法规,遣散费或项目终止补偿金是在终止专业人员时可能需要支付的费用。客户理解并同意,专业人员终止后,所有可能产生的终止费用,包括但不限于遣散补偿、代通知金和应计假期折算(如适用),应由客户承担。

终止专业人员的通知。取决于专业人员被指派到客点户项目的地的地点,在专业人员将被终止时,存在可能需要提前通知的情况。客户理解此类通知应由提供商通过其方式进行,并且在任何情况下客户都不得通知专业人员他们被终止。在客户的要求下,如果适用,通知期可以通过向相关专业人员支付特定款项来代替:此类代通知金应由服务提供商独家进行支付。

03. Term – Termination

Term. The term of this Agreement shall commence on the Effective Date, as set out in the applicable Proposal, and shall remain in full force and effect until the occurrence of a stipulated termination condition and the full completion of all settlements and payments.

Termination for Cause. Either Party may terminate this Agreement for cause, by giving 30 calendar days’ prior written notice to the other Party, upon the occurrence of any of the following events: (i) any of the Parties is placed into receivership or becomes insolvent; (ii) where any event occurs, or circumstance arises which gives the Provider reasonable grounds to believe that the Client will be unable to fulfill its payment obligations under this Agreement and/or any Proposal; (iii) the Client fails to pay the Provider on time, provided that the Provider has promptly notified the Client in writing that the Provider reserves the right to terminate for non-payment should the amount remain unpaid at the expiration of 10 calendar days.

Termination for Breach. In the event a Party materially breaches this Agreement and/or any Proposal and does not rectify such breach within 10 calendar days, the other Party may terminate this Agreement and/or any Proposal upon written notice.

Termination for Any Reason. Either Party may terminate this Agreement and/or any Proposal for any reason by giving 60 calendar days’ written notice to the other Party.

Effect of Termination. Upon receipt of the notice of termination, the Parties shall initiate the termination of this Agreement in a manner that complies with the laws and that shall keep protecting the business interests of the Parties.

03. 期限 – 终止

期限。本协议从相关方案所述的生效日期起生效,直至发生规定的终止条件并且双方完成所有结算和付款。

因故终止。当出现以下情况时,任何一方均可提前30日历天向另一方发出书面通知终止本协议:(i)任何一方被破产接收或无力偿债;(ii)出现任何事件或情况,使提供商合理认为客户无法履行本协议和/或任何方案下的付款义务;(iii)在提供商已经以书面形式及时通知客户的前提下,如客户未能按时支付提供商的费用,提供商保留在未支付的金额到期后在10个日历天有权终止合同的权利。

违约终止。如果一方严重违反本协议和/或任何方案且在10个日历天内未能纠正此类违约行为,则另一方有权发出书面通知终止本协议和/或任何方案。

因任何理由终止。任何一方均可提前60日历天向另一方发出书面通知,因任何理由终止本协议和/或任何方案。

终止的效力。在收到终止通知之后,双方应以合法且能够保护双方商业利益的方式启动对本协议的终止流程。

04. Payment – Services Fees

Services Fees. In consideration of the performance of the Services, the Client agrees and undertakes to pay the Provider the services fees as set forth in the applicable Proposal(s) (the “Services Fees”) and all fees relating to any ad hoc services that the Client may have requested to be performed by the Provider.

Payment. The Client shall pay all invoices issued by the Provider by the 20th of the month of the invoice’s date. In the event the Client fails to pay any invoice on time, interest of 1% per month will be charged on unpaid fees more than 10 calendar days past due.

Clear Funds. All payments must be made in cleared funds, without any deductions or offsets, even if a portion of the amount paid by the Client is required by any banking institution, governmental, fiscal, or other authority. If any deductions are necessary, the Client must ensure the Provider receives the full amount due by paying any additional amounts necessary.

Payroll and Disbursement Cut-off Date. The Client understands that the Provider’s payroll and/or disbursement cut-off date is fixed at the 5th of each month, unless otherwise agreed in a specific Proposal. In the event it falls on a weekend, it shall be extended to the following business day. Any modification to the standard payroll process outlined herein must be explicitly requested by the Client and is subject to the Provider’s written approval.

Failure to Pay. In the event of non-payment, the Provider reserves the right (i) to suspend the performance of its obligations under this Agreement, without prejudice to other available remedies, or (ii) to terminate this Agreement, provided that it has promptly notified the Client in writing that this Agreement is being terminated for non-payment at the expiration of a 10-calendar-day notice remained unpaid. The Client understands and agrees to reimburse the Provider for all reasonable costs of collection, including attorney fees. The Client further understands and agrees not to hold the Provider liable for any delay caused by any third-party or external factors, such as postal services, local authorities, public holidays, etc. that are beyond the reasonable control of the Provider.

Payment Method. Upon receipt of applicable invoices, the Client undertakes to provide the due payments on time, via bank transfer. Exceptionally and upon the Provider’s prior approval, payment via banknotes and checks may be accepted. Furthermore, Bank Acceptance Bills, Commercial Acceptance Bills ,and cash are not accepted as payment methods.

Exchange Rate. Exchange rate is updated monthly, and the Provider will use bank, market or payment providers’s rates as FX invoice rate, depending on cases. In the event there has been any discrepancy or shortfall, the Provider will proceed to regularization on an annual basis – either recovering the difference from or refunding the difference to the Client, upon occurrence.

04. 付款 – 服务费

服务费。鉴于提供商提供的服务,客户同意并承诺向提供商支付相关方案规定的服务费(“服务费”)以及客户要求提供商提供的任何特别服务的相关费用。在完全收讫相关服务费之前,提供商无义务开始提供任何或全部服务,无须向客户承担任何责任。

付款。客户应在开票月当月20日之前支付提供商开具的所有发票。如果客户未能按时支付任何发票,则应从到期的10日历天之后起算,按每月1%的利率对未付款项计息。

支付清缴。所有付款必须以已被抵消或扣除后的金额支付,不得有任何扣除或抵消,即使客户支付的款项中有一部分被任何银行机构、政府、财政或其他机构要求扣除。如果必须进行任何扣除,客户必须通过支付任何必要的额外金额来确保提供商收到全部应付金额。

薪资和付款的截止日期。客户理解,提供商的薪资和/或付款变动截止日期固定为每月5日,除非在具体方案中另有约定。如果该日期正好是周末,则应顺延至下一个工作日。对此标准薪资流程的任何修改,必须由客户明确提出,并须经提供商书面批准。

未能付款。如果客户未能付款,则提供商保留以下权利:(i)暂停履行本协议下的义务,且其他可用补救措施不受影响,或者(ii)终止本协议,但应向客户发出书面通知,说明如果客户在收到该通知之后的10日历天内仍未付款,则本协议将被终止。客户理解并同意为提供商报销所有合理的收款成本,包括律师费等。客户进一步理解并同意,如果因为超出提供商合理控制能力的任何第三方或外部因素,如邮政服务、当地管理部门、公共假日等造成任何延误,提供商无须承担任何责任。

付款方式。在收到相关发票之后,客户承诺将按时通过银行转账支付应付款项。在特殊情况下,经提供商事先批准,也可通过票据和支票付款。此外,付款不得使用银行承兑汇票、商业承兑汇票和现金。

汇率。汇率每月更新,提供方将根据情况所使用的银行汇率、市场汇率或第三方支付提供商的汇率作为外汇发票汇率。如果发生任何差异或缺额,提供方将按年度进行调整 – 在发生情况时从客户处征收差额或向客户退还差额。

05. Deposit

Meaning and Purpose. The Provider will charge a specific fee per Professional assigned to the Client (the “Deposit”). Such Deposit will be used only to cover operational matters, and will be held by the Provider until the termination of the applicable Professional(s)’ assignment to the Client. Furthermore, without liability to the Client, the Provider shall not be obligated to commence any or all of the Services until the applicable Deposit is paid in full.

Calculation. The amount of the Deposit will be stated in each specific Proposal(s). The Provider may, from time to time, increase the Deposit based on relevant changes to the terms of the Professional(s)’ assignment (including, but not limited to, and upon relevancy: payment increase, accumulating seniority, notice period increase, etc.).

Payment. The Deposit per Professional(s) will be included in a separate invoice. The Client shall pay such Deposit invoice within 5 calendar days of receipt. Any increase will be documented and included in further debit note.

Forfeit. In the event an invoice is past due for more than 60 days, the Client understands and agrees that the entire Deposit will be permanently forfeited, while the overdue amount remains due.

Refund. Any unused portion of the Deposit will be refunded to the Client within 30 calendar days after all matters and invoices related to the termination of the Professional(s) have fully been settled. Upon agreement by the Parties, such Deposit may be credited against the Provider’s final invoice to the Client.

05. 押金

含义和目的。提供商将对分配给客户的每个专业人员收取特定费用(“押金”)。此类押金仅用于支付运营事务,并由提供商保管,直到适用的专业人员的终止。此外,在对应押金未被全额支付的情况下,提供商无需对客户承担任何责任,也无义务启动全部或部分服务。

计算押金的金额在每份具体方案中详细阐述。提供商可能会根据专业人员雇佣的相关条款的变化(包括但不限于薪资增加、工龄累积、离职通知期期限增加等),不定时地增加押金金额。

付款。每个专业人员的押金列报于一张单独的发票中。客户应在收到此类押金发票的5个日历天内支付。任何增加的押金也将记录和列报于之后的缴款通知书中。

罚金如果发票逾期超过60天,则客户理解并同意,提供商有权没收全部押金,且客户仍需支付逾期款项。 

退款。在本协议终止之后的30日历天内,任何未使用的押金将在与专业人员的聘用终止相关的事务全部处理完成之后退还给客户。在双方达成协议的情况下,可以将此类应退押金抵充提供商向客户开具的最终发票。

06. Warranty

Contractual Autonomy. Both the Client and the Provider warrant that they have the necessary power and approval to enter into this Agreement. They further warrant that are acting entirely free from any kind of influence, interference, pressure, financial or otherwise, duress or undue influence from any third-party whatsoever.

Contractual Performance. Both the Client and the Provider warrant that they have thoroughly read and understood every clause in this Agreement; that they are not aware of anything in their reasonable control which will or could have an adverse effect upon their ability to perform their respective obligations hereunder; and that they commit not to do anything to hinder or affect the execution of the other Party’s obligations under this Agreement.

06. 保证

合同自主权。客户和提供商均保证他们拥有签订本协议所需的权力和许可。它们还保证,它们的行为完全不受任何第三方的影响、干涉、压力(经济或其他方面)、胁迫或不当影响。

合同履行。提供商和客户均保证已经彻底阅读并理解本协议的每一条款;他们没有意识到任何在其合理控制范围内的事情会或可能会对其在本协议下履行各自义务的能力产生不利影响;并且他们承诺不会采取任何行动阻碍或影响本协议下另一方义务的执行。

07. Indemnification

Loss. Only to the extent that the Client has promptly notified the Provider in writing of such claim, the Provider will defend, indemnify and hold harmless the Client from and against any and all costs, charges, liability, expenses or loss of any type, including attorneys’ fees (collectively, “Loss”), arising out of any third– party claims against the Client arising from (i) the Provider’s breach of its obligations in performing the Services; or (ii) the gross negligence or willful misconduct of the Provider, which does not include the gross negligence or willful misconduct of the Professional. The Provider shall work together with the Client as to the strategy and resolution of any claim. The Client will have the right to participate fully, at its own expense, in the defense of the applicable claim with counsel of its own choosing. Only to the extent that the Provider has promptly notified the Client in writing of such claim, the Client agrees to indemnify and hold harmless the Provider for any Loss sustained from a third–party claim made against the Provider for (i) the Client’s breach of its obligations under this Agreement; or (ii) the gross negligence or willful misconduct made by the Client.

Consent to Settlement. The indemnifying Party may not, except with prior written consent of the indemnified Party, enter into any settlement of an indemnified Claim that imposes a direct financial liability on the indemnified Party or includes an admission of fault by the indemnified Party.

07. 补偿

损失。由以下原因导致的第三方对客户的索赔,只要客户及时书面通知提供商有关索赔的情况,提供商将有义务为客户提供辩护,赔偿并使客户免受任何和所有类型的费用、收费、责任、费用或损失(统称为“损失”),包括律师费:(i)提供商在履行服务协议中的协议方面违约;或者(ii)提供商的严重疏忽或故意不当行为,不包括专业人员的严重疏忽或故意不当行为。提供商将与客户共同制定索赔的策略和解决方案。客户将有权全额参与自己选择的法律顾问在适用的索赔辩护中,但需自费法律顾问费。只要在提供商及时书面通知客户有关索赔的情况下,客户同意赔偿并使提供商免受因以下情况中第三方对提供商提出的索赔而产生的任何损失:(i)客户在此合同下履行服务方面的违约;或者(ii)客户的重大过失或故意不当行为。

同意和解。除非获得被补偿方的事先书面同意,否则补偿方不得就被补偿的索赔签署任何向被补偿方施加直接财务责任或承认被补偿方存在错误的任何和解书。

08. Limitation of Liability

Indirect Loss. To the full extent permitted by law, neither Parties shall, under any circumstances, have any liability to the other Party for any loss of business, loss of profits, loss of reputation or goodwill or for any other form of indirect or consequential loss, whether arising from negligence, breach of agreement, tort, breach of statutory duty or otherwise, notwithstanding of any notice by the other Party of the probability of any such indirect or consequential loss.

Misinformation from the Client. The Provider shall not be held responsible for any fake or false information or document provided by the Client and relied upon by the Provider in its performance of its obligations under this Agreement.

External Factors. The Client understands and agrees not to hold the Provider liable for any delay caused by any third-party or external factors, such as postal services, local authorities, public holidays, etc. that are beyond the reasonable control of the Provider.

Amount Limitation. The Parties’ respective liability arising out of this Agreement, whether in contract, tort, or under any other theory of liability, will be limited to the total Services Fees owed or paid to the Provider for the past 12 months for the Services giving rise to a claim, whichever is higher.

Liability Exclusions. Without prejudice to clause Clause 7-Indemnification of this Agreement, the Client understands and agrees that the Provider cannot, under any circumstance, be held liable for any Loss, whether direct or indirect, arising from (i) the identification of a Permanent Establishment in relation to the Professional(s)’ assignment to the Client, (ii) a Direct Employment Claim, or (iii) a claim related to the classification of the Professional as a contractor or an employee, provided that such claim arises through no breach of this Agreement by the Provider or its fault, (iv) the negligence or misconduct of the Professional, or (v) a claim concerning discrimination of the Professional by the Client. For the purposes of point (ii) above, Direct Employment Claim is defined as a claim that aims to identify the existence of a direct employment relationship between the Client and the Professional. For the purposes of point (v) above, the Client agrees not to discriminate against any Professional on the basis of race, color, religion, gender, sexual orientation, gender identity or expression, national origin, age, genetic information, disability, or any other characteristic protected by applicable laws.

08. 责任限制

间接损失。在法律允许的最大范围内,任何一方在任何情况下均不向另一方承担任何业务损失、利润损失、名誉或商誉损失或任何其他形式的间接或后果性损失,无论造成此类损失的原因是疏忽、违约、违反法定责任还是其他因素,即使另一方已经发出书面通知,告知可能出现任何此类间接或后果性损失。

客户提供的错误信息。对于由客户提供且由提供商在履行本协议下的义务过程中采用的任何虚假或错误的信息或文件,提供商概不负责。

外部因素。客户理解并同意,对于任何第三方或外部因素(如邮政服务、地方当局、公共节假日等)造成的、超出提供商合理控制范围的延迟,提供方不承担任何责任。

金额限制。双方因为本协议而各自产生的责任,无论属于合同责任、侵权责任或任何其他责任,上限均为客户在过去12个月内就索赔所涉服务费应付或已付给提供商的款项总额,两者以较高者为准。

责任排除。在不损害本协议第7条 – 赔偿的情况下,客户理解并同意,无论在何种情况下,提供商均不对以下导致的任何损失承担责任,无论是直接还是间接的:(i)与专业人员被分配到的客户的常设机构的认定,(ii)直接雇佣索赔,或(iii)与将专业人员错误分类为承包商或雇员有关的索赔,前提是此类索赔并非由于提供商违反本协议或其过错引起的,(iv)专业人员的疏忽或不当行为,或(v)与客户对专业人员的歧视有关的索赔。对于上述第(ii)点,直接雇佣索赔被定义为旨在确定客户与专业人员之间存在直接雇佣关系的索赔。对于上述第(v)点,客户同意不基于种族、肤色、宗教、性别、性取向、性别认同或表达、国籍、年龄、遗传信息、残疾或受适用法律保护的任何其他特征对任何专业人员进行歧视。

09. Force Majeure

Interpretation. The Parties shall not be liable for delays or non-performance of their obligations under this Agreement to the extent that they result from circumstances arising from a unpredictable and irresistible event of force majeure that are attributable to any and all uncontrollable events, which may include but are not limited to: natural disasters, epidemics and pandemics, civil disturbances, government acts, regulations, fraud, strikes, embargoes on transported goods, war, insurrections, acts of terrorism and annulments or termination of licenses, permissions, or authority (collectively a “Force Majeure”).

Response. The Party hence delayed or failing to perform their obligations due to an event of Force Majeure shall take all reasonable endeavors to minimize and avoid the effect of the event of Force Majeure.

09. 不可抗力

释义。如果因为超出双方控制能力的不可预估且无法抵抗的不可抗力事件导致任何一方延迟或无法履行其在本协议下的义务,则该方无须承担责任。此类不可抗力事件包括但不限于:天灾、传染病和流行病、内乱、政府行为、管制、欺诈、罢工、货物禁运、战争、暴乱、恐怖主义行为,以及许可、批准或权限失效或到期(统称为“不可抗力”)。 

应对。因为不可抗力事件而延迟或无法履行其义务的一方应尽最大的合理努力减少和避免不可抗力事件产生的影响。

10. Confidentiality

Interpretation. The term “Confidential Information” means all information that relates to past, present, and future creation, research, development, and business activities of each Party, their parents, subsidiaries or affiliated companies, and their respective customers, suppliers and other third-party business partners, if any (collectively the “Disclosers”), and all information relating to the Disclosers’ business operation, including, but not limited to, their respective trade secrets, trade knowledge, formulae, processes, business plans, systems, algorithms, software, data programs, training aids, printed materials, methods, books, records, company files, policies and procedures and any other information that should reasonably be understood as confidential.

Non-Disclosure. The terms and conditions of this Agreement, along with any Confidential Information or material obtained during the scope of this Agreement, are and shall remain absolutely confidential between the Parties and shall not be disclosed to any other person or entity, under any circumstance, during the term of this Agreement and thereafter. Any disclosure in violation of this provision shall be deemed as a material breach of this Agreement. Furthermore, the Provider will ensure any applicable Professional will not disclose any information created, modified or developed by them for and on behalf of the Client as such information shall belong exclusively to the Client.

Exclusion. Confidential Information shall not include any information that is or became any of the following: (i) necessary to be shared such with the receiving Party’s accountants or attorneys; (ii) in the public domain through no fault of or breach of this Agreement by the receiving Party; (iii) lawfully possessed by the receiving Party, from a third party, prior to receiving it from the disclosing Party; (iv) independently developed by the receiving Party without making use of the Confidential Information; (v) approved in writing for disclosure by the disclosing Party; (vi) rightfully known by the receiving Party from a third party without a duty of confidentiality to the disclosing Party; or (vii) required to be disclosed in a judicial or administrative proceeding or is otherwise requested or required to be disclosed by law or regulation.

Intellectual Property Ownership. The Provider agrees that it shall not have any interest in any invention, copyright or any other intellectual property created by the Professional during their assignment (the “Works”). All such rights, titles and interests shall be considered as and remain the Client’s sole property.

Return of Confidential Information. Upon termination of this Agreement or upon request of the Client, the Provider will ensure any Confidential Information, notwithstanding the fact that any applicable Professional may have created, developed, or contributed to the creation of such Confidential Information during their assignment to the Client, shall be returned to the Client..

Publicity & Marketing. Unless otherwise instructed in writing, the Client grants the Provider permission to use its name, logos, symbols, and trademark, in any of the Provider’s marketing and advertising materials, including but not limited to websites, social media, press releases, case study, print pieces and brochures. The Client may revoke such authorization by giving the Provider 30 days advance written notice.

10. 保密

释义。“保密信息”指与双方及其母公司、子公司或关联公司,以及上述各项各自的客户、提供商和其他第三方商业合作伙伴(如有)(统称为“披露方”)在过去、当前和未来的创造、研究、开发成果和商业活动相关的所有信息,以及与披露方的商业运营相关的所有信息,包括但不限于其各自的商业秘密、商业知识、配方、工艺、商业计划、系统、算法、软件、数据编程、培训设备、印刷材料、方法、书籍、记录、公司文件、政策和程序以及其他任何应被理解为机密的信息。

不披露。双方应对本协议的条款与条件以及在本协议范围内获得的任何保密信息或材料严格保密,在本协议有效期内及之后,在任何情况下均不得披露给任何他人或实体。违反本协议进行的披露将被视为对本协议的重大违约。此外,提供商应确保任何相关专业人员均不会披露其为客户或代表客户创造、修改或开发的任何信息,此类信息完全归客户所有。

排除。机密信息不包括以下任何信息:(i)与接收方的会计师或律师必须共享的信息;(ii)未经接收方的过错或违反本协议的情况下进入公共领域的信息;(iii)在从披露方接收信息之前,接收方从第三方合法拥有的信息;(iv)接收方在不使用机密信息的情况下独立开发的信息;(v)由披露方书面批准披露的信息;(vi)接收方从第三方合法获得的信息,而无需对披露方保密;或(vii)在司法或行政程序中要求披露,或法律或法规要求披露的信息。

知识产权的所有权。提供方同意对专业人员在其任务期间创造的任何发明、版权或任何其他知识产权(”作品”)不享有任何权益。所有这些权利、所有权和利益均应视为并始终是客户的专有财产。

保密信息的归还/销毁。在本协议终止时或应客户要求,提供商应确保任何保密信息,包括相关专业人员在被指派给客户期间所创造和开发或参与了创造过程的保密信息在内,均归还给客户。

宣传与营销。除非另有书面说明,否则客户授权提供商在提供商的宣传与营销材料中使用客户的名称、标志、图案和商标,包括但不限于提供商的网站、社交媒体、新闻稿、案例研究、印刷材料和手册等。客户有权提前30天向提供商发出书面通知,撤销上述授权。

11. Governing Law – Dispute

Governing Law. This Agreement is governed by and construed with the laws in force in Singapore.

Dispute. If any claim, disputes, controversy or discrepancies arises out of or in connection with this Agreement, the Parties shall settle such claim, disputes, controversy or discrepancies, if possible, through mediation in an amicable manner. In case no agreement has been reached out within 30 days, the dispute shall be finally settled through arbitration administered by the Singapore International Arbitration Centre (“SIAC”) by 1 arbitrator appointed in accordance with the SIAC rules. The arbitration shall take place in Singapore The arbitral proceedings shall be conducted in English. The arbitral award shall be in writing, and be final and binding on the Parties.

11. 管辖法律 – 争端

管辖法律。本协议应根据新加坡法律进行管辖和解释。

争端。如果出现因为本协议而产生或者与本协议相关的任何索赔、争端、争议或分歧,则双方应在可能的情况下,通过友好方式解决此类索赔、争端、争议或分歧。如果双方在30天内未能达成一致意见,则应将该争端交由新加坡国际仲裁中心(“SIAC”)进行最终仲裁,由一名根据SIAC规则指定的仲裁员负责。仲裁应在新加坡进行,仲裁过程以英语进行。仲裁结果应以书面形式做出,具有终局性,且对双方均有约束力。

12. Entirety

Entire Agreement. This Agreement constitutes the entire agreement between the Provider and the Client with respect to the subject matter hereof, and supersedes any and all prior agreements or representations, whether written or oral, relating to the subject matter hereof. All Proposal, Modification, Addendum or Amendment agreed and executed by the Parties shall form an indivisible and integral part of this Agreement, and have the same legal effect as it.

Modification. From time to time, the Provider may modify this Agreement. The Provider will use reasonable efforts to notify the Client of any significant change through communications via the Client’s email or other means.

12. 完整性

全部协议。本协议构成提供商与客户之间就本协议主题达成的全部约定,取代之前就同一主题达成的任何与全部书面或口头的协议或陈述。双方同意并签署的所有建议、修改、附录或修正案均构成本协定不可分割的组成部分,并具有与本协定相同的法律效力。

修改。提供商有权不时修改本协议。提供商应尽合理努力通过电子邮件或其他方式将任何重大更改提前告知客户。

13. Miscellaneous

Severability. In the event this Agreement is not consistent with any newly established local mandatory stipulations such as laws, regulations, provisions or policies, the new laws, regulations, provisions or policies shall prevail. Any illegal or unenforceable disposition or part of shall be null and void, without any effect on the remaining parts of this Agreement.

Independence. The Parties are independent from each other and this Agreement will not establish any relationship of partnership, joint venture, employment, franchise or agency between them. Neither Party will have the power to bind the other Party or to incur any obligations on its behalf without the other Party’s prior consent.

Language. This Agreement is written in both English and Chinese; the English language shall prevail in case of any discrepancy or difficulty of interpretation.

Notice. All notices and communications given under this Agreement must be in writing and will be delivered through communications via the Parties’ email, a nationally recognized overnight courier service, or certified or registered mail (postage prepaid, return receipt requested) to the respective addresses specified in this Agreement.

13. 其他

不一致。如果本协议与当地新制定的法律、法规、规定或政策等强制性规定不一致,应以新的法律、法规、规定或政策为准。任何非法或不可执行的处置或部分无效,对本协议的其余部分不产生任何影响。

独立性。双方彼此保持独立,并未创建任何合伙、合资、聘用、特许经营或代理等关系。未经另一方事先同意,任何一方均无权创建对另一方具有约束力的义务或代表另一方承担任何义务。

语言。本协议以英文和中文写成,如有歧义或难以解释,应以英文为准。

通知本协议项下的所有通知和通信必须以书面形式进行,并将通过各方的电子邮件、国家认可的次日达服务,或者经认证或挂号邮寄(邮资预付,要求回执),发送到本协议中指定的各方地址

The present General Terms and Conditions (the “Agreement”) is made and entered into by and between HORIZONS., a Singapore company d.b.a. Horizons, parent company of Shanghai New Horizons Digital Technology Co., Ltd. (上海新视野数字科技有限公司) (the “Provider”), and the company that is executing this Agreement (the “Client”) with the Provider; each referred to as a “Party” and together as the “Parties”.

In consideration of the mutual covenants contained below, the Parties agree to be bound by the terms and conditions as follows:

01. Services

Services. The Client desires to retain Employer of Record services from the Provider (the “Services”) for projects as further detailed in relevant duly executed Country Pricing Schedule(s) under this Agreement (the “Proposal”).

Assignment. The Provider will assign specific Professional(s), approved by the Client, to be dedicated to work on the Client’s project. The Services include, but are not limited to, the onboarding and regular employment of such Professional(s) with its local in-country affiliated entity, and the supervision of all other administrative, legal and HR aspects arising from the employment of such Professional(s).

Commitment. The Provider shall perform the specific Services set forth in any Proposal, with all due skill, care and diligence, in a good and workmanlike manner, and in conformity with generally recognized industry standards for similar services and all applicable legislation.

Instructions. To help the Provider provide the Services, the Client undertakes to (i) make available, provide, and/or deliver, as applicable, all necessary information, materials, context, instructions and cooperate with all the reasonable requests from the Provider; (ii) ensure that such information, materials and context are provided in full compliance with any applicable laws and regulations; (iii) monitor and supervise the ongoing performance of the Services delivered by the relevant Professional(s), and inform the Provider of any unsatisfying points; (iv) notify the Provider immediately if any event or circumstances arises that may delay all or part of the performance of the Services; and, (iv) bear all undisputed costs related to the Services according to each applicable Proposal.

02. Professional

Dedicated Professional. The Professional is a local national or foreign individual, dedicated to work on the Client’s project, and that has been either (i) assigned by the Provider and approved by the Client; or (ii) selected and introduced by the Client and approved by the Provider. 

Employment. Due to the nature of the Services and its globally distributed team, the Provider may use a local in-country affiliated entity and other third-parties to onboard a Professional and to handle their payroll and other HR and administrative matters; and the Client further authorizes the Provider to use such local entities. The employment of a Professional may hence be governed by the laws of different in-countries or region according to the location where they have been employed to be assigned to the Client’s project; and the Client agrees to abide by such laws and regulations.

Project Termination. In case a specific project on which a Professional has been dedicated to is to be terminated, the Client understands and agrees that it shall first notify the Provider and let the Provider terminate the relevant Professional’s employment in compliance with local laws and regulations. Any non-respect of this obligation shall be deemed as a material breach of this Agreement by the Client. Furthermore, provided that the Provider has given clear and correct recommendations to the Client regarding such termination, it is understood and agreed that in case such termination procedure is not respected by the Client or in case the termination decided by the Client is not justified in accordance with local laws and regulations, all termination costs and litigation costs shall be borne by the Client, and can be claimed by the Provider, in case it had to upfront such costs.

Notice. Depending on the location where a Professional has been employed to be assigned to the Client’s project, a notice period may be required to terminate such Professional. The Client understands that such notice shall be exclusively delivered via and through the Provider: such notice cannot be directly notified by the Client to the applicable Professional. Upon request of the Client, such notice period can also be skipped by issuing the same payroll amount to the applicable Professional: such payment in-lieu of notice shall be exclusively issued via and through the Provider.

Economic Compensation. A severance bonus is a pay-out mandatory requirement when terminating a Professional to ensure compliance with local labor laws and regulations. Depending on the cases, paying a severance may not be required (e.g.: in case of resignation, failure to complete the probation, or dismissal with serious grounds for termination). The Client understands and agrees that, at the moment the employment of a Professional is to be terminated, all termination costs that may arise, including but not limited to severance compensation and accrued leave days (upon applicability) shall be borne by the Client.

03. Term – Termination

Term. The term of this Agreement shall commence on the Effective Date, as set out on the applicable Proposal to the occurrence of stipulated termination conditions and the full completion of all settlements and payments.

Termination for Cause. Either Party may terminate this Agreement for cause, by giving 30 days’ prior written notice to the other Party, upon the occurrence of any of the following events: (i) any of the Parties is placed into receivership or becomes insolvent; (ii) where any event occurs, or circumstance arises which gives the Provider reasonable grounds to believe that the Client will be unable to fulfill its payment obligations under this Agreement and/or any Proposal; (iii) the Client fails to pay the Provider on time, provided that the Provider has promptly notified the Client in writing that the Provider is terminating for non-payment at the expiration of a 10-day notice remained unpaid.

Termination for Breach. In the event a Party materially breaches this Agreement and/or any Proposal and does not rectify such breach within 14 calendar days, the other Party may terminate this Agreement and/or any Proposal upon written notice.

Termination for Any Reason. Either Party may terminate this Agreement and/or any Proposal for any reason by giving 60 days’ written notice to the other Party.

Effect of Termination. Upon receipt of the notice of termination, the Parties shall initiate the termination of this Agreement in a manner that complies with the laws and that shall keep protecting the business interests of the Parties.

04. Payment – Services Fees

Services Fees. In consideration of the performance of the Services, the Client agrees and undertakes to pay the Provider the services fees (the “Services Fees”) as set forth in the applicable Proposal(s) and all fees relating to any ad hoc services that the Client may have requested to be performed by the Provider. Without liability to the Client, the Provider shall not be obligated to commence any or all of the Services until the applicable Services Fees are paid in full.

Payment. The Client shall pay all invoices issued by the Provider by the 20th of the ongoing month. In the event the Client fails to pay any invoice on time, interest of 1% per month will be charged on unpaid fees more than 10 days past due.

Payroll Cut-off Date. The Client understands that the Provider’s payroll cut-off date is fixed at the 5th of each month. In the event it falls on a weekend, it shall be extended to the following business day.

Failure to Pay. In the event of non-payment, the Provider reserves the right (i) to suspend the performance of its obligations under this Agreement, without prejudice to other available remedies, or (ii) to terminate this Agreement, provided that it has promptly notified the Client in writing that this Agreement is being terminated for non-payment at the expiration of a 15-day notice remained unpaid. The Client understands and agrees to reimburse the Provider for all reasonable costs of collection, including attorney fees. The Client further understands and agrees not to hold the Provider liable for any delay caused by any third-party or external factors, such as postal services, local authorities, public holidays, etc. that are beyond the reasonable control of the Provider.

Payment Method. Upon receipt of applicable invoices, the Client undertakes to provide the necessary funding on time, via bank transfer. Exceptionally and upon the Provider’s prior approval, payment via banknotes and checks may be accepted. Furthermore, Bank Acceptance Bills, Commercial Acceptance Bills and cash are not accepted as payment methods.

Exchange Rate. Exchange rate is updated monthly, and the Provider uses market rates as FX invoice rate.

05. Deposit

Meaning. When performing the Services, the Provider will assume all employment liabilities from the Client. Consequently, the Provider will charge a specific fee, per Professional assigned to the Client, to offset any cost arising from employment liability (the “Deposit”). Such Deposit will be held by the Provider until the termination of the applicable Professional(s)’ employment.

Calculation. The amount of the Deposit will be stated in each specific Proposal(s). The Provider may punctually increase the Deposit based on relevant changes to the terms of the Professional(s)’ employment (e.g.: salary increase, accumulating seniority, notice period increase, etc.).

Payment. The Deposit per Professional(s) will be included in the first debit note. Any increase will be documented and included in further debit note.

Forfeit. In the event of non-payment or in the event an invoice is past due for more than 60 days, the Client understands and agrees that the entire Deposit will be permanently forfeited, while the overdue amount remains due.

Refund. Any unused portion of the Deposit will be refunded to the Client within 30 days of the termination of this Agreement, provided that all matters related to the termination of the Professional(s) have fully been settled.

06. Warranty

Representation. Both the Client and the Provider warrant that they have the necessary power and approval to enter into this Agreement. They further warrant that they are not aware of anything in their reasonable control which will or could have an adverse effect upon their ability to perform their respective obligations hereunder, and that they have thoroughly read and understood every clause in this Agreement.

Independence. Both the Client and the Provider warrant that they are acting entirely free from any kind of influence, interference, pressure, financial or otherwise, duress or undue influence from any third-party whatsoever. They further commit not to do anything to hinder or affect the execution of the other Parties’ obligations under this Agreement.

07. Indemnification

Loss. The Provider will defend, indemnify and hold harmless the Client from and against any and all costs, charges, liability, expenses or loss of any type, including attorneys’ fees (collectively, “Loss”), arising out of any third party claims against the Client arising from (i) the Provider’s breach of its obligations in performing the Services; or (ii) the gross negligence or willful misconduct of the Provider. The Provider shall work together with the Client as to the strategy and resolution over any claim. The Client will have the right to participate fully, at its own expense, in the defense of the applicable claim with counsel of its own choosing. The Client agrees to indemnify and hold harmless the Provider for any Loss sustained from a third party claim made against the Provider for a willful misconduct made by the Client, only to the extent that the Provider has promptly notified the Client in writing of such claim and to the extent that the Client assumes the defense of such claim.

Consent to Settlement. The indemnifying Party may not, except with prior written consent of the indemnified Party, enter into any settlement of an indemnified Claim that imposes a direct financial liability on the indemnified Party or includes an admission of fault by the indemnified Party.

08. Limitation of Liability

Indirect Loss. To the full extent permitted by law, neither Parties shall, under any circumstances, have any liability to the other Party for any loss of business, loss of profits, loss of reputation or goodwill or for any other form of indirect or consequential loss, whether arising from negligence, breach of agreement, tort, breach of statutory duty or otherwise, notwithstanding of any notice by the other Party of the probability of any such indirect or consequential loss.

Misinformation from the Client. The Provider shall not be held responsible for any fake information or document provided by the Client and relied upon by the Provider in its performance of its obligations under this Agreement.

Amount Limitation. The Parties’ respective liability arising out of this Agreement, whether in contract, tort, or under any other theory of liability, will be limited to the total fees owed or paid to the Provider for the past 12 months for the Services giving rise to a claim.

Permanent Establishment Risk. The Client understands and agrees that the Provider cannot, under any circumstance, be held liable for any Loss, whether direct or indirect, arising from a direct employment claim related to the employment of the Professional(s). The Client further understand that any such direct employment claim would be worsened in the event a Permanent Establishment is identified in relation with the Professional(s) to be recognized as directly employed by the Client.

Any disclosure in violation of this provision shall be deemed as a material breach of this Agreement. Furthermore, the Provider will ensure any applicable Professional will not disclose any information created, modified or developed by them for and on behalf of the Client as such information shall belong exclusively to the Client.

Exclusion. This Non-Disclosure covenant does not apply in the following circumstances: (i) where mutually agreed to in writing by the Parties; (ii) where necessary to share such information with the Parties’ accountants or attorneys; (iii) where disclosure to a governmental entity is required; (iv) where disclosure is required by any legal or regulatory authority by valid legal order; (v) where the Confidential Information has already entered the public domain by other means.

Ownership of IP. The Provider agrees that it shall not have any interest in any invention, copyright or any other intellectual property (the “Works”), notwithstanding the fact that such Works may have been created by a Professional during their assignment to the Client. All such rights, titles and interests shall be considered as and remain the Client’ sole property.

Return & Destruction of Property. Upon termination of this Agreement or upon request of the Client, the Provider will ensure any Confidential Information, notwithstanding the fact that any applicable Professional may have created, developed, or contributed to the creation of such Confidential Information during their assignment to the Client, shall be returned to the Client.

Publicity & Marketing. 12. Entirety

Entire Agreement. This Agreement constitutes the entire agreement between the Provider and the Client with respect to the subject matter hereof, and supersedes any and all prior agreements or representations, whether written or oral, relating to the subject matter hereof. All Proposal, Modification, Addendum or Amendment agreed and executed by the Parties shall form an indivisible and integral part of this Agreement, and have equal force with it.

Modification. From time to time, the Provider may modify this Agreement. The Provider will use reasonable efforts to notify the Client of any significant change through communications via the Client’s email or other means.

13. Miscellaneous

Inconsistency. In the event this Agreement is not consistent with any newly established local mandatory stipulations such as laws, regulations, provisions or policies, the new laws, regulations, provisions or policies shall prevail. Any illegal or unenforceable disposition or part of shall be null and void, without any effect of the remaining part of this Agreement.

Independence. The Parties are independent from each other and this Agreement will not establish any relationship of partnership, joint venture, employment, franchise or agency between them. Neither Party will have the power to bind the other Party or to incur any obligations on its behalf without the other Party’s prior consent.

Language. This Agreement is written in both English and Chinese; the English language shall prevail in case of any discrepancy or difficulty of interpretation.

Notice. All notices and communications given under this Agreement must be in writing and will be delivered through communications via the Client’s email or other means.

当前的一般条款与条件(下文称为“本协议”)由HORIZONS【一家新加坡的公司,为上海新视野数字科技有限公司的母公司】(下文称为“提供商”)和执行与提供商之间的本协议的公司(下文称为“客户”)签署;双方单独称为“一方”,合称为“双方”。

鉴于双方在此的相互约定,双方同意遵守以下条款与条件:

01. 服务

服务。客户希望在本协议下的相关正式签署的定价表(”方案”)中进一步详细说明的项目中使用供应商提供的专业雇主服务(”服务”)。

指定。提供商应指定客户批准的特定专业人员为客户的项目提供服务。服务内容包括但不限于此类专业人员在当地关联实体的入职和正常聘用,以及对此类专业人员的聘用产生的所有其他行政、法务和人力资源方面的问题的监督。

承诺。提供商应运用其恰当的技能、谨慎和勤奋以良好和熟练的方式提供任何方案中规定的特定服务,并遵守适用于类似服务的普遍认可的行业标准以及所有适用法律。

说明。为了便于提供商提供服务,客户承诺将(i)在恰当时准备、提供和/或提交所有必要信息、材料、文本和说明,并配合满足提供商的所有合理要求;(ii)确保此类信息、材料和文本均符合任何适用法律和法规;(iii)监控和监督相关专业人员提供服务的情况并将任何不符合要求之处告知专业人员;(iv)在出现任何可能完全或部分影响服务的事件或情况时,立即将此类事件或情况告知提供商;以及(v)根据适用的方案承担服务所产生的所有无争议的成本。

02. 专业人员

专职的专业人员。专业人员为当地的本国或外国个人,专门从事客户项目的工作,已经(i)由提供商任命且被客户批准;或者(ii)由客户选中和推荐,且被客户批准。

聘用。鉴于服务的性质及其遍布全球的团队,提供商可以通过当地关联实体和其他第三方办理专业人员的入职,并处理其薪资管理和其他人力资源与行政等事务;客户进一步授权提供商使用此类当地实体。因此,专业人员的聘用应遵守其被聘用且指派给客户项目的当地所属国家或地区的法律,客户也同意遵守此类法律与法规。

项目终止。如果专业人员供职的特定项目将要终止,则客户理解并同意,其应第一时间通知提供商,使提供商根据当地法律和法规终止相关专业人员的聘用。对本义务的任何违反均将被视为客户对本协议的重大违约。此外,如果提供商已经明确且正确地建议客户这种终止, 则双方理解并同意,如果客户并未遵守终止程序或者客户做出的终止决定不符合当地法律与法规,则所有与终止和相关诉讼有关的成本应由客户承担,且提供商有权要求客户报销其垫付的此类成本。

通知。终止聘用此类专业人员的通知须提前发出,具体期限取决于专业人员被聘用且指派给客户项目所处的地点。客户理解,此类通知只能由提供商做出或通过提供商传达,不得由客户直接发至相关专业人员。应客户要求,也可略过上述提前发出通知的期限,但应向相关专业人员支付该期限内应得的薪酬,且此类以薪酬代替通知期限的决定只能由提供商做出或通过提供商传达。

经济赔偿。为了确保遵守当地劳动法律与法规,在终止聘用专业人员时必须支付离职补助金。在某些情况下,无需支付离职补助金(例如辞职、未能通过试用期或因为重大过错被解雇)。客户理解并同意,终止聘用专业人员可能产生的相关成本,包括但不限于离职补助金和应计假期(如果适用),均应由客户承担。

03. 期限 – 终止

期限。本协议从相关方案所述的生效日期起生效,直至出现规定的终止条件以及完成所有结算和付款为止。

因故终止。当出现以下情况时,任何一方均可提前30天向另一方发出书面通知终止本协议:(i)任何一方被破产接收或无力偿债;(ii)出现任何事件或情况,使提供商合理认为客户无法履行本协议和/或任何方案下的付款义务;(iii)客户未能按时向提供商付款,经提供商向客户发出书面催款通知,客户在该通知的10天期限到期之后依然未能付款。                      

违约终止。如果一方严重违反本协议和/或任何方案且在14个日历天内未能纠正此类违约行为,则另一方有权发出书面通知终止本协议和/或任何方案。

因任何理由终止。任何一方均可提前60天向另一方发出书面通知,因任何理由终止本协议和/或任何方案。 

终止的效力。在收到终止通知之后,双方应以合法且能够保护双方商业利益的方式启动对本协议的终止流程。

04. 付款 – 服务费

服务费。鉴于提供商提供的服务,客户同意并承诺向提供商支付相关方案规定的服务费(“服务费”)以及客户要求提供商提供的任何特别服务的相关费用。在完全收讫相关服务费之前,提供商无义务开始提供任何或全部服务,无须向客户承担任何责任。

付款。客户应在当月20日之前支付提供商开具的所有发票。如果客户未能按时支付任何发票,则应从到期的10天之后起算,按每月1%的利率对未付款项计息。

发放工资的截止日期。客户理解,提供商发放工资的截止日期固定为每月5日。如果当天为周末,则应顺延至下一个工作日。

未能付款。如果客户未能付款,则提供商保留以下权利:(i)暂停履行本协议下的义务,且其他可用补救措施不受影响,或者(ii)终止本协议,但应向客户发出书面通知,说明如果客户在收到该通知之后的15天内仍未付款,则本协议将被终止。客户理解并同意为提供商报销所有合理的收款成本,包括律师费等。客户进一步理解并同意,如果因为超出提供商合理控制能力的任何第三方或外部因素,如邮政服务、当地管理部门、公共假日等造成任何延误,提供商无须承担任何责任。

付款方式。在收到相关发票之后,客户承诺将按时通过银行转账支付必要款项。在特殊情况下,经提供商事先批准,也可通过票据和支票付款。此外,付款不得使用银行承兑汇票、商业承兑汇票和现金。

汇率。汇率每月更新,提供商在发票中使用的汇率应以市场汇率为准。

05. 押金

含义。在提供服务的过程中,提供商将承担来自客户的所有与聘用相关的责任。因此,提供商将针对每名指派给客户的专业人员收取一定费用,用于抵销此类聘用责任产生的任何成本(“押金”)。此类押金将由提供商保管,直至相关专业人员的聘用结束为止。

计算。押金的金额在每份具体方案中详细阐述。提供商可根据专业人员聘用条款的变化增加押金的金额(如工资上涨、资历积累、通知期限延长等)。

付款。每名专业人员的押金均列报于第一份缴款通知书中。任何增加的押金也将记录和列报于之后的缴款通知书中。

罚金。如果客户未能付款或发票逾期60天仍未支付,则客户理解并同意,提供商有权没收全部押金,且客户仍需支付逾期款项。 

退款。在本协议终止之后的30天内,任何未使用的押金将在与专业人员的聘用终止相关的事务全部处理完成之后退还给客户。

06. 保证

陈述。客户与提供商均保证,其具有签署本协议所必需的权力和批准。双方进一步保证,其合理控制范围内不存在任何将会或可能对其履行本协议下义务的能力产生负面影响的情况,且其已经完全阅读和理解了本协议的每一项条款。

独立性。客户与提供商均保证,其行为并未受到任何财务或其他方面的影响、干涉或压力,也未受到任何第三方的胁迫或不正当影响。双方进一步承诺,不会阻碍或妨碍另一方履行本协议下的义务。

07. 补偿

损失。如果任何第三方因为(i)提供商在提供服务的过程中违反其义务;或(ii)提供商出现嗯重大过失或故意渎职而向客户提出索赔,则提供商应为客户提供辩护和补偿,并保护客户免于承担任何与全部类型的成本、收费、责任、费用或损失,包括律师费等(统称为“损失”)。提供商应与客户在任何索赔的应对措施和解决方案方面开展合作。客户有权指派其选中的律师参与相关索赔的辩护,费用完全由其自行承担。客户同意,如果第三方因为客户的故意渎职而对提供商提出索赔,则客户应对提供商做出补偿,并保护提供商免于承担任何损失,前提是提供商立即以书面形式告知客户此类索赔的情况,且由客户对此类索赔做出辩护。

同意和解。除非获得被补偿方的事先书面同意,否则补偿方不得就被补偿的索赔签署任何向被补偿方施加直接财务责任或承认被补偿方存在错误的任何和解书。

08. 责任限制

间接损失。在法律允许的最大范围内,任何一方在任何情况下均不向另一方承担任何业务损失、利润损失、名誉或商誉损失或任何其他形式的间接或后果性损失,无论造成此类损失的原因是疏忽、违约、违反法定责任还是其他因素,即使另一方已经发出书面通知,告知可能出现任何此类间接或后果性损失。

客户提供的错误信息。对于由客户提供且由提供商在履行本协议下的义务过程中采用的任何虚假信息或文件,提供商概不负责。

金额限制。双方因为本协议而各自产生的责任,无论属于合同责任、侵权责任或任何其他责任,上限均为客户在过去12个月内就索赔所涉服务应付或已付给提供商的款项总额。

常设机构的风险。客户理解并同意,提供商在任何情况下均不对专业人员的聘用所产生的直接索赔导致的任何直接或间接损失负责。客户进一步理解,如果存在与被认为由客户直接聘用的专业人员相关的常设机构,则此类因聘用而产生的直接索赔将更难解决。

09. 不可抗力

释义。如果因为超出双方控制能力的不可预估且无法抵抗的不可抗力事件导致任何一方延迟或无法履行其在本协议下的义务,则该方无须承担责任。此类不可抗力事件包括但不限于:天灾、传染病和流行病、内乱、政府行为、管制、欺诈、罢工、货物禁运、战争、暴乱、恐怖主义行为,以及许可、批准或权限失效或到期(统称为“不可抗力”)。 

应对。因为不可抗力事件而延迟或无法履行其义务的一方应尽最大的合理努力减少和避免不可抗力事件产生的影响。

10. 保密

释义。“保密信息”指与双方及其母公司、子公司或关联公司,以及上述各项各自的客户、供应商和其他第三方商业合作伙伴(如有)(统称为“披露方”)在过去、当前和未来的创造、研究、开发成果和商业活动相关的所有信息,以及与披露方的商业运营相关的所有信息,包括但不限于其各自的商业秘密、商业知识、配方、工艺、商业计划、系统、算法、软件、数据编程、培训设备、印刷材料、方法、书籍、记录、公司文件、政策和程序以及其他信息。

不披露。双方应对本协议的条款与条件以及在本协议范围内获得的任何保密信息或材料严格保密,在本协议有效期内及之后,在任何情况下均不得披露给任何他人或实体。违反本协议进行的披露将被视为对本协议的重大违约。此外,提供商应确保任何相关专业人员均不会披露其为客户或代表客户创造、修改或开发的任何信息,此类信息完全归客户所有。

例外。本条不披露条款不适用于以下情况:(i)双方相互书面同意披露;(ii)有必要与双方的会计师或律师共享此类信息;(iii)必须向政府实体披露此类信息;(iv)任何法律或监管部门通过有效的法律命令要求披露此类信息;(v)保密信息已经通过其他渠道进入公共领域。

知识产权的所有权。提供商同意,其在任何发明、版权或任何其他知识产权(“作品”)中均不享有任何利益,即使此类作品由专业人员在被指派给客户期间所创造。所有此类权利、权益和利益均属于客户的独家财产。

财产的归还/销毁。在本协议终止时或应客户要求,提供商应确保任何保密信息,包括相关专业人员在被指派给客户期间所创造和开发或参与了创造过程的保密信息在内,均归还给客户。

宣传与营销。除非另有书面说明,否则客户授权提供商在提供商的宣传与营销材料中使用客户的名称、标志、图案和商标,包括但不限于提供商的网站、社交媒体、新闻稿、案例研究、印刷材料和手册等。客户有权提前30天向提供商发出书面通知,撤销上述授权。

11. 管辖法律 – 争端

管辖法律。本协议应根据新加坡法律进行管辖和解释。

争端。如果出现因为本协议而产生或者与本协议相关的任何索赔、争端、争议或分歧,则双方应在可能的情况下,通过友好方式解决此类索赔、争端、争议或分歧。如果双方在30天内未能达成一致意见,则应将该争端交由新加坡国际仲裁中心(“SIAC”)进行最终仲裁。仲裁应在新加坡进行,仲裁过程以英语进行。仲裁结果应以书面形式做出,具有终局性,且对双方均有约束力。

12. 完整性

全部协议。本协议构成提供商与客户之间就本协议主题达成的全部约定,取代之前就同一主题达成的任何与全部书面或口头的协议或陈述。双方同意和执行的所有方案、修改、附录或修正均构成本协议不可分割的整体部分,与本协议具有相同效力。

修改。提供商有权不时修改本协议。提供商应尽合理努力通过电子邮件或其他方式将任何重大更改提前告知客户。

13. 其他

不一致。如果本协议与当地新颁布的任何强制性规定,例如法律、法规、条款或政策出现不一致的情况,则以新颁布的法律、法规、条款或政策为准。本协议任何非法或不可执行的部分均应予以废除和无效,且不影响本协议其他部分的任何效力。

独立性。双方彼此保持独立,并未创建任何合伙、合资、聘用、特许经营或代理等关系。未经另一方事先同意,任何一方均无权创建对另一方具有约束力的义务或代表另一方承担任何义务。

语言。本协议以英文和中文写成,如有歧义或难以解释,应以英文为准。

通知。在本协议下做出的所有通知和通信均必须以书面形式进行,通过电子邮件或其他方式告知客户。
